Please read our License Agreement, Privacy Policy, and Billing Agreement carefully, as well as the Adept Terms of Service.
Unless otherwise stated, all references in this License Agreement to the “CBT Nuggets Content” or the “Content” include the CBT Nuggets Learner-facing and Administrator-facing applications and platforms, individual videos within a series, entire series (“Courses”), series packages, supplemental materials, Learner resources, quiz questions, images and diagrams, proprietary instances of the virtual lab and/or access to any portions thereof (collectively the “Services”). All references to “CBT” or “CBT Nuggets” shall mean CBT Nuggets, LLC, a Delaware limited liability company, with its principal office located at 2850 Crescent Ave., Eugene, OR 97408.
Pursuant to the terms herein, CBT Nuggets grants the CBT Nuggets Learner(s) or Account Administrator(s) (“You”, “Your”, “User(s)” or “Customer”) access to the CBT Nuggets Content (“Membership”), through its website or its partner’s website (the “Website”) or its applications (“Apps”).
You hereby accept terms of this License Agreement as of the date You purchase access to the Services by issuing a purchase order, remitting payment via credit card, signing a quote or signing a custom agreement, or at the time of Account creation, whichever occurs first (the “Effective Date”).
Memberships
The single User Membership license shall be connected to You, a named individual with a unique email address, for the term of Your Membership unless otherwise assigned to another Learner in compliance with the terms and conditions herein. For any Membership with more than one User, each Learner license shall be connected to a named individual with a unique email address.
Enrollments / Access Codes
Each individual single User Enrollment or Access Code license shall be connected to You, a named individual with a unique email address. Each Enrollment or Access Code will grant You access to a specific piece of CBT Nuggets Content, for a set period of time, as determined by the terms of the Enrollment or Access Code (i.e. “1 year access from redemption date”).
As available, You may purchase an Enrollment by visiting the applicable CBT Nuggets Course page and selecting the “Enroll” option.
Accounts may purchase a certain minimum number of universal Access Codes, and may assign each individual Access Code to an individual User. Each User will have a set period of time to redeem each Access Code from the date the Access Code was purchased.
Internal Training
Member Customers can purchase an organization-wide site license for its Learners to create and consume internal training (“Your Content”) produced and hosted on the Adept Learning Platform (“Internal Training”). Customer retains ownership of any and all original content that Customer creates or uploads and is solely responsible for ensuring that its content does not violate the intellectual property rights of any third party.
All use of the Internal Training product must strictly comply with the terms of this License Agreement and the Adept Terms of Service, including, but not limited to, any restrictions on copyrighted materials, illegal or prohibited content, and platform usage policies.
Customer is strictly responsible for ensuring that its Learners comply with the Adept Terms of Service, and shall be responsible for managing any requests from its Learners to remove the Learner created content.
CBT Nuggets retains User created content for up to 12 months after Membership lapse to enable seamless reactivation and access continuity. If an account is explicitly deleted by the User, we retain the data for 30 days before permanent deletion for abuse prevention and compliance.
Learning Management System Integration
Certain Customers may access the Services via integration with their organization’s learning management system (“LMS”), by Membership, Enrollment or Access Code. Upon initial integration, LMS Memberships are granted the same access as any other Membership and subject to the same Terms and Conditions under the applicable license type.
LMS Enrollments and Access Codes have a set access period regardless of redemption or access date. CBT Nuggets will not refund any amounts You previously paid for any LMS Enrollment or Access Code that has expired.
The terms of this License Agreement expressly govern the access to the CBT Nuggets Content by each and every CBT Nuggets Learner (authorized single User license), and Account Administrator (manages an Account and/or its Team Members, and as applicable, receives billing and renewal communications).
1. Scope of Agreements
1.1 This License Agreement outlines Your rights and obligations while accessing the CBT Nuggets Content. The provisions of this License Agreement shall prevail over any conflicting provisions in any third party terms and conditions, including any open source license agreements.
1.2 Access to and use of the CBT Nuggets Content is inextricably linked to the processing of personal data, outlined in our Privacy Policy. Your continued use of the CBT Nuggets Content constitutes acknowledgement and acceptance of the CBT Nuggets Privacy Policy.
1.3 CBT Nuggets reserves the right to alter its Services and Content with or without advanced notice, including but not limited to making changes to Content, Content types, delivery systems, applications, platforms, and other operational changes it deems necessary or reasonable.
2. Grant of Your License
2.1 CBT Nuggets hereby grants You a revocable, non-exclusive, non-royalty bearing license to access and use the CBT Nuggets Content within reasonable usage limits. Any assignment of the single User license, including but not limited to sharing of Your login credentials with a third party, is strictly prohibited without the express written permission of CBT Nuggets.
2.2 You MAY NOT capture, copy, reproduce, disclose, publish, reverse engineer, translate, port, modify, or make derivative works of the CBT Nuggets Content in any form, in whole or in part, without the express written authorization of CBT Nuggets.
2.3 You MUST strictly adhere to this License Agreement and promptly remedy any violation.
3. Intellectual Property Rights
3.1 All right, title, and interest in and to the CBT Nuggets Content, and any derivative works thereof is expressly reserved by CBT Nuggets. The CBT Nuggets Content is proprietary material which is protected under all applicable laws, including, but not limited to, copyright, trademark, trade secret, and patent law.
3.2 Any action or attempt to steal, misappropriate, pirate, or otherwise violate Section 2.2, is a violation of this License Agreement and shall be grounds for Termination of this License Agreement and prosecution under applicable law.
4. Termination of Your License
4.1 Any violation(s) of Sections 2.1, 2.2, 2.3, or 3.2 shall be grounds for Termination of Your license.
4.2 CBT Nuggets reserves the right to determine whether a violation of this License Agreement has occurred and to suspend Your access during such investigation. Failure to cooperate with any investigation may result in Termination.
4.3 Upon Termination of Your license for any reason, CBT Nuggets shall not refund any amounts You previously paid to CBT Nuggets.
5. Disclaimer of Warranty
5.1 The CBT Nuggets Content is provided to You on an “AS IS” and “WITH ALL FAULTS” basis.
5.2 CBT Nuggets makes, and user receives, NO WARRANTY, whether express or implied.
5.3 ALL WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR ANY PARTICULAR PURPOSE, AND ANY WARRANTY RELATED THERETO, ARE HEREBY EXPRESSLY DISCLAIMED.
6. Indemnification
6.1 To the extent permitted by applicable law, you expressly agree to defend, indemnify and hold harmless CBT Nuggets, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, liabilities and expenses arising from Your use of the CBT Nuggets Content, including but not limited to, breach or violation of this License Agreement.
7. Limitations of Liability
7.1 IN NO EVENT SHALL CBT NUGGETS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY AND ALL DAMAGES, CLAIMS, LOSSES, EXPENSES, LIABILITIES OR COSTS ARISING OUT OF, INCURRED BECAUSE OF, OR RELATED TO THE CONTENT OR SUBJECT MATTER OF THIS LICENSE AGREEMENT.
7.2 In no event shall CBT Nuggets’ liability to You or any third party exceed the amount You have actually paid for access to the CBT Nuggets Content in the preceding twelve months.
8. Term and Termination
8.1 Term. The initial term commitment for your purchase of Services will be as specified on an Order (“Initial Term”) and begins on the Effective Date. After the Initial Term, Your Membership for the Services will automatically renew for subsequent terms (“Renewal Terms”), unless otherwise specified in an Order or the description for a particular Service, or unless either party provides written notice of non-renewal at least 30 days before the current Term expires. Each Renewal Term will be equivalent in length to the then-expiring Term, unless otherwise specified by CBT Nuggets at the time of renewal.
9. Governing Law
9.1 If Customer is a United States city/municipality, county or state government entity, then this License Agreement will be silent regarding governing law and venue.
9.2 If Customer is a United States federal government entity, then this License Agreement shall be governed by the laws of the United States of America and venue for any legal proceeding shall be Lane County, Oregon, USA.
9.3 Except as expressly provided in Sections 9.1 and 9.2, this License Agreement shall be governed by the laws of the State of Oregon and venue of any legal proceeding shall be in Lane County, Oregon, USA.
10. Miscellaneous Provisions
10.1 This License Agreement is only one of the legal documents which governs Your relationship with CBT Nuggets. Unless You and CBT Nuggets enter into a separate governing written agreement, You should carefully read this License Agreement, our Billing Agreement, and our Privacy Policy as Your legal rights, and access to the CBT Nuggets Content, is subject to Your acceptance and adherence to all three legal documents.
10.2 If any provision of this License Agreement is declared invalid or unenforceable, the parties intend for the remaining provisions of this License Agreement to remain in effect.
10.3 For security purposes, CBT Nuggets reserves the right to reset passwords for inactive accounts.
10.4 By agreeing to this License Agreement, You acknowledge and consent to the use of artificial intelligence (AI) technologies within the Services. These AI technologies may be utilized to enhance user experience, personalize content, and improve the overall service delivery.
CBT Nuggets allows for CBT Nuggets Learners to utilize limited free access to certain CBT Nuggets Content, under the terms and conditions of such promotional offers. As applicable, creation of multiple accounts or aliases for the purpose of receiving additional free access benefits is strictly prohibited and may result in termination of all associated accounts.
CBT Nuggets reserves the right, in its sole discretion, to change, modify, add, or remove all or part of this License Agreement at any time, with or without notice.
